Important notice
Investments in private companies and pre-IPO interests involve significant risk, including the possible loss of your entire commitment. You should not invest unless you can bear such loss and understand the terms of each offering.
Illiquidity
Interests offered on this platform are not listed on a public exchange. There may be no secondary market, no public pricing, and no guarantee that you can sell or transfer your position before a liquidity event defined in the issuer documents.
Issuer and valuation risk
Private companies may fail, dilute existing holders, delay liquidity events, or revise valuations without notice. Indicative metrics on company pages are not audited guarantees of future performance.
Regulatory and jurisdictional risk
Offerings may not be available in all jurisdictions. Regulatory changes can affect your ability to hold, transfer, or receive distributions. You are responsible for confirming that participation is lawful where you reside.
Operational and settlement risk
Settlement via bank transfer or digital assets carries operational, counterparty, and network risks. Payment instructions must be followed exactly; misdirected or incorrectly referenced funds may not be recoverable.
Crypto-asset risk
If you fund your account or settle with Bitcoin or USDT (TRC20), you bear the risks of the relevant network: irreversible transactions, sending to the wrong address or network, congestion and variable confirmation times, fee volatility, and exposure to the USD value of the asset until it is credited. Crypto-asset transfers are not protected by any deposit-guarantee or compensation scheme.
Custody and safeguarding
Fiat custody and account services are provided through regulated partner banks; crypto-asset settlement uses addresses provisioned for the platform. Your investor account balance is an operational balance used to settle allocations — it is not a bank deposit, is not interest-bearing, and is not covered by deposit insurance or an investor-compensation scheme. Holdings represent private-company interests subject to the issuer’s documents.
Currency and valuation
Balances, tickets, and marks are shown in USD. If your funds or reporting are in another currency, exchange-rate movements affect value. Indicative unit prices and valuations may be estimates and can change without notice.
Concentration and diversification
Private-market allocations are typically illiquid and long-dated. Committing a large share of your wealth to one issuer, sector, or the asset class as a whole increases risk. Only commit capital you can afford to lock up and potentially lose.
Tax
Tax treatment depends on your circumstances and jurisdiction and may change. GCF does not provide tax advice. You are responsible for determining and meeting your tax obligations and should consult an independent adviser.
Conflicts of interest
GCF and its affiliates may earn fees or spreads, and may have relationships with issuers, sellers, or partners, which could create conflicts of interest. Material arrangements relevant to a given allocation are disclosed in the offering or subscription documents.
Forward-looking statements
Catalysts, watchpoints, and outlook statements are forward-looking, involve assumptions and uncertainties, and are not guarantees. Actual outcomes may differ materially. Past performance is not indicative of future results.
